Welcome to The Integrative Conscious Vibe (the “Site”, “we”, “us”, or “our”). By using or otherwise accessing our Site or services, you agree to the terms below. We respect your privacy and commit to transparency regarding the collection, use, and protection of your personal data.

Other information you choose to provide when contacting us or using certain site features at will/not at will.

Operating, maintaining, and improving our Site and services.

Communicating with you (e.g., responding to inquiries, providing customer support, using our CRM and sending updates).

5. Disclosure, Sale, and Sharing of Personal Data

We will clearly notify you of the categories of Personal Data we collect, and the categories of third parties with whom we may share or disclose Personal Data.

We will not discriminate against you if you choose to opt out from any sale or sharing of your Personal Data. In fact we ask you to be aware and conscious. If you wish to not receive any more emails or information from us to please let us know and unsubscribe from anything that we are sending you. We never want you to feel you have to be part of something if you do not want to.

Upon a verified request, we will provide you (free of charge) with a record of what Personal Data we have collected about you and to which third parties we have disclosed that data over the preceding 12 months. We will respond within 60 days of verification. NJ legislation and US.

6. Your Rights Under SB 332

If you are a resident of New Jersey (or if SB 332 otherwise applies), you have the right to:

Request access to the Personal Data we have collected about you;

Request disclosure of the third parties with whom we have shared or sold your Personal Data in the previous 12 months;

Opt -out of the sale of your Personal Data and Unsubscribe to any information that we send you.

Exercise these rights without needing to create an account (if that is relevant).

7. Cookies and Tracking Technologies

We may use cookies, web beacons, and similar tracking technologies to collect usage data, facilitate site functionality, and personalize user experience. You may be able to disable cookies in your browser; however, doing so could affect your ability to use certain features of the Site.

Terms of Use (“Terms & Conditions”)

1. Acceptance of Terms

By using or accessing the Site or any of its services, you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, please do not use the Site.

2. Definitions

“Site” refers to The Integrative Conscious Vibe, LLC

“User”, “you”, “your” refers to any person who visits or uses the Site.

“Content” refers to all text, images, videos, data, and other materials made available on the Site.

3. Permitted Use / User Obligations

5. Disclaimers & Limitation of Liability

The Site and all Content are provided “as is” and “as available,” without warranties of any kind (express or implied).

We do not guarantee that the Site will be error-free, secure, or uninterrupted. We are, after all, human and can make mistakes, misspellings, cause triggering when reading the blogs, or cause upset to people who don’t want to face the truth about life and the reality of energy work.

We are not liable for any damages, losses or claims arising from your use of the Site — including data loss, business interruption, or unauthorized access — to the maximum extent permitted by law.

We are not responsible for the content, actions, or omissions of third parties or external websites referenced via links.

6. Termination / Suspension

We reserve the right, at our sole discretion, to suspend or terminate (temporarily or permanently) your access to the Site — without prior notice — if you violate these Terms or engage in any conduct we deem harmful or unacceptable to us or any other consumers here or related to.

7. Governing Law

These Terms and Privacy Policy shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law provisions.

The Integrative Conscious Vibe Terms & Conditions

This Agreement (“Agreement”) is made and entered into between the signatory at the end of this Agreement (“you”, “your”, “the Client”) and The Integrative Conscious Vibe, LLC. (“us,” “we,” “our”, “The Integrative Conscious Vibe, LLC”), and is effective today.

By reading this, you hereby release Joann Malanga, Owner of The Integrative Conscious Vibe, LLC and all of their energy workers and coaches from any liability or claims that could be made against, concerning your mental, emotional and/or physical well-being during the work that has been outlined and agreed upon (now and in the future) by filling out and signing this form.  We do not claim to be a physician of any sort, and I suggest that if you are feeling unwell or need medical attention, you seek what is necessary for your mental, physical, and spiritual wellbeing.

The Integrative Conscious Vibe Centre, LLC offers Education, Prayer, and Spiritual Assistance for Soul integration with holistic measures of mind, body and spiritual healing. It will complement and enhance all other forms of healing and therapies that you may be receiving. These sessions are not a substitute, nor intended to replace any professional care that you are receiving. There is no guarantee that any modality will work. Under no circumstances do we guarentee results.

These sessions are not intended as a diagnosis, act as a prescription, treatment, or cure for any disease, disorder, injury, whether physical, emotional, or mental. It is HIGHLY recommended that clients maintain a primary physician and maintain all other self-care practices. Joann Malanga does not interfere with the free will of any client. She acts as a facilitator to awaken the person to heal themselves with teaching and education to self- empowerment.

Scope of Practice

I understand that ​Joann Malanga who works for The Integrative Conscious Vibe is not a healer, licensed physician, psychologist, or medical practitioner of any kind and does not claim to be such. The Modalities; Rapid Transformational Hypnosis/Energy Healing/ Reiki/IET/ Spiritual Life Coaching should not be considered a replacement for the advice and/or services of a psychiatrist, psychologist, psychotherapist, or medical doctor. This is a spiritual practice with education with holistic measures that can aid in healing and transformation to move you forward in life and help you become more conscious and empowered on healing yourself. This also applies to any transfer of Reiki Energy, Universal Ray Healing, or IET -Energy clearings that are completed during sessions. We will not be held accountable to the individual processes of each individual.

It is up to the client to reach out if additional support is needed or to make another appointment.

Participation As (you) the Client;

I give ​The Integrative Conscious Vibe, LLC and it’s employees ​ full permission to support me with spiritual therapies, Classes, Certifications, Energy body work, Use of hypnosis, meditation, group coaching, knowing that by participating fully in the process, I will have the most results. I also agree to listen to the personalized recordings meditations as needed, as this will play an important role in my overall success in hypnotherapy. I understand that there are no guarantees that hypnosis or any holistic measure will cure me, help me in one session with an addiction that I have had for over a decade. I agree to do the "Inner work" of healing my consciousness and doing the necessary work to help heal myself and support my own journey. By reading this, I fully agree to the terms here set forth.

The coaches and energy workers are not healers or guarantee to heal you. They (her, he, him, they) and will awaken the healer in you so you can do your own work.

The coaches and teachers act as a professional facilitator who supports the individual journey of the individual to heal themselves and to do their own inner work of processing life experiences, traumas, inner child work, meditation, help eradicate addictions if your willing to change your behaviors. It is important the person cares for themselves as needed.

By signing this, you agree to complete assignments/journal prompts/shadow aspect work for mental/spiritual health and awareness as provided by Joann, and play full out in the healing process and education with Joann.

·         I agree to listen and participate and be respectful, and be on time for all sessions/classes/group work and certification material.

·         I agree to release The Integrative Conscious Vibe and it’s employees of any liability.

·         I agree that I will participate to the best of my ability and complete the 30 practice sessions as requested. I understand that once a commitment/appointment is made, there are no refunds, just because you don’t like the session or feel it’s not working. Just like the seeds you plant to grow, things take time. We ask you for your patience while your process emotions, release imprints, programming/conditioning and other things that may release or come up during the session.

·         I agree to honor the time allotted for booked appointments and understand that there is a 48-hour cancellation for all private appointments.

·         I also agree that if I show up more than 10 minutes late for classes, appointments, I will have the choice to attend the appointment minus the 10 minutes or not attend and lose the slot/and the payment.

·         There are absolutely NO refunds on work that the client is unwilling to do. All of the education corses, sessions, and meditation recording require the client to do their own spiritual work and create daily time to do this. If the client purchases a package, and then decides they don’t want to continue, or chooses they don’t want to do the inner work or even get coached through the resistance that comes up then that is the choice of the client and they forfeit all remaining sessions.

·         No appointment will be honored without a disclaimer/waiver signed and space secured with payment. There are no discounts on energy exchange.

·         I also understand there are no refunds for any services. This is “at will” and you can leave to exit the coaching/healing/classes or program at any time.

·         It is the client's responsibility to make their appointments and keep track of all packages/sessions and reach out to the Soul Integrative Coachs' for support.

·         There are no refunds on fees from card payment on any item and/or service. If the clients pay on a card, and then changes their mind and cancels the appointment, there will be no refund on fees from square, swipe, PayPal, Venmo, cash ap or any other source of payment. Any form of payment placed on a card there will be a 3.5% service fee plus.

I understand that although Rapid Transformational Therapy and Soul Integration Coaching has an incredibly high success rate, ​The Integrative Conscious Vibe, LLC ​cannot and does not guarantee results with personal healing results.  You understand that your own personal success/growth depends on many factors that ​any and all Practitioners at The Integrative Conscious Vibe Centre have no ​control over, including your willingness to not do the assignments and your own inner work with meditation, writing, and other scheduled assignments.

I understand that (I) client need to put in the work to get the desired results of transformation, processing trauma, shifting addiction, and creating a new way of living.

I also understand that I (participant) have to play full out and deal with aspects of myself that may /may not feel comfortable in emotional release, or purging old stories etc.

I fully release Joann from any liability across all time, space and continuum.

Spiritual Life Coaching/Energy Healing/EFT/RTT/Energy Reiki Healing sessions. After a session, please note that you may experience sensations in the body, more emotions coming up and more active thoughts in the mind from movement of energy. Please review with your coach and see your doctor if you feel unwell or that symptoms of a cold, body release, purging, release of emotions etc.

Audio Recording(s) I give ​The Integrative Conscious Vibe, LLC and the Spiritual Life Coaches ​ full permission to make audio recordings that may include my voice, when given permission only. Joann Malanga, Soul Integration Lif Coach ​retains full copyright over any forms of media that may be produced and distributed to me and will not share with anyone without a written consent from client.

Deepening Process of Hypnosis/Energy Work -I hereby grant permission to ​the Integrative Conscious Vibe Center, LLC to perform virtual healing/in in-person healing therapies. I hereby permit the employees and coaches to respectfully virtually lift my arm, touch my shoulder, or rock my head during my classroom training (s) in person/virtually order to help facilitate the deepening process if the session is done in person. This could also be during a retreat or gathering to encourage the movement of energy within the body to release.

Also, with any energy work performed, it is noted that symptoms may result which is described in the attached form along with this contract.

Confidentiality/Terms and Conditions -By signing this form, I consent that ​The Integrative Conscious Vibe, LLC ​ may release information to a specific individual or agency if it has been determined that a child or elder is at risk of or is currently being abused; if I, as a client, am in imminent danger to myself or others; or if a subpoena of records has been requested. 

Under no circumstances will any employee from The Integrative Conscious Vibe, LLC speak to anyone but the client. If the client is dying or in an emergency, only then will we speak to a POA or physician with HIPPA release to protect the client.

I also understand that, at any time, any employee of The Integrative Conscious Vibe, LLC ​may discuss aspects of my case with other colleagues keeping my full name and identity completely confidential always, unless I have given permission otherwise. 

I have read and understand all of the above and agree. All payments are due to prior to rendering of all services. No acceptations.

(Only refers to single sessions outside of the program-I understand that If I book and pay and then cancel, and don’t schedule another appointment that I will not be refunded for service fees and a $50.00 charge will be initiated for cancelling and not rebooking.)

I also understand that The Integrative Conscious Vibe has the right to terminate services with any person who behaves inappropriately, uses foul language, posts abusive content, posts rude comments or hurtful demeanor, or verbally abuses another person in a coaching container or tries to solicit or sell their services. We also have the right to terminate services to anyone who is disrespecting and behaving inappropriately in session at any time. If this happens, there are no refunds.

In consideration of the promises and of the mutual covenants and conditions contained herein, the parties agree to the following terms and conditions:

●     Access all of the client acquisition systems contained in Healing Sessions, Coaching Groups, Coaching Calls, weekly and Powerful Energy Clearing and Healing sessions, and Teaching Groups

●     Access to Reiki I, II, III, Light Worker’s Way in order

●     Access to IET material

●     Access to the Shadow Box Program/Bubble process and doing the Aspect work on ourselves

●     Access to having a daily spiritual routine

●     Access to Intuition and self-trust

●     Access to the 12 codes of Light

●     Access Understanding multi-dimensional Body- 12 bodies

●     Access to Class material and platforms to buy your own Reiki books/Journals

●     Access to purchase class products/crystals and alter set ups

●     Access to The U-turn Method

●     Access to workbooks and private journal prompts to support and facilitate healing /Unguarding the Heart and working with frequency

●     Access to all of our proven templates, systems, scripts & processes for personal development of mind, body and soul

●     Access to healing, workbooks, platforms

●     Multiple weekly subject-specific Q&A calls.

●     24/7 access to the community

Definitions:

●     Commencement Date means the date on which you signed this Agreement.

●     Guarantee Date is calculated by adding 183 days to the Commencement Date.

●     Completion Date is calculated by adding 365 days to the Commencement Date.

●     Nominated Bank Account means a valid bank account provided by you to us in writing at the time of exercising the Guarantee.

Terms & Conditions

1.         Representations & Warranties

(a)          You warrant to The Integrative Conscious Vibe that this Agreement is voluntarily entered into, that the Client has been given the opportunity to obtain legal advice as to the nature, effect and extent of this Agreement, that this Agreement binds the Client and its representatives, successors and permitted assigns, the Client understands the legal significance and effect of executing this Agreement and The Integrative Conscious Vibe, LLC is relying on these warranties.

(b)          In the event you are a company, the person engaging on your behalf by signing this Agreement irrevocably guarantees all terms, conditions, obligations and payments due pursuant to this Agreement.

(c)           For the avoidance of any doubt, a person authorized on your behalf will be taken to be any employee, agent or third party that purchases, engages with, and/or logs into our Program using the company’s login information. You and your authorized representative irrevocably agree that you have voluntarily entered into this Agreement.

(d)          The decision to register for this Program is your own, is voluntary and you have not been pressured or coerced into making this decision. You acknowledge and agree that our materials and services are advisory and supportive only and that no representations or warranties are made with respect to your results. You accept full responsibility for your results.

2.         Payment

(a)          You agree to pay the purchase price for the Program agreed upon during your initial consultation with Our team.

(b)          You authorize us to periodically debit your account for any payment plans you select.

(c)           You are contractually obligated to make payments on time, without delay or excuse. Failure to settle your full payment to us if on a payment plan will result in full Program suspension, a full debt recovery process and potential litigation.

(d)          Should your credit card expire, you will supply new details to us within 1 business day of expiry so we can process your payments. You are responsible for ensuring sufficient funds are available at billing dates. Failed payments will be re-charged until successful. You agree to cover any other fees, exchange rates, duties, taxes or any other disbursements or expenses required for your access to the Program. Non-payment by you does not cancel our agreement with you. You agree to pay all fees, costs, and expenses, including reasonable attorneys’ fees and costs, associated with your failure to make any payment when due.

(e)          To retain access to the Program and all deliverables after 365 days, you will need to make another one-time payment of $5,000 (or equivalent in GDP, AUD, or EUR) for a further 365 days of access.

3.         Guarantee

(a)          Subject to Clause 3(b), we guarantee that, on or before the Guarantee Date, you will start your own business as a Spiritual Life Coach with the leverage of your own healthcare industry -sign at least 1 paying client for your business WITHIN 6 months of this program (the Guarantee).

(b)          If you exercise the Guarantee, you will be entitled to a full refund of the Purchase Price and 6 months of free coaching and the ability to stay in the SKOOL to learn and grow.

(c)           You acknowledge and agree that you qualify for the Guarantee, and are entitled to exercise the Guarantee, if and only if:

A.            No less than 183 days have elapsed from the Purchase Date;

B.            No more than 30 days have elapsed from the Guarantee Date;

C.           You have not signed at least 1 client onto a healing programs that you have created.

D.           You have not breached any of these Terms and Conditions;

E.            You have completed (watched) all modules in full and played full out in all of the programs and education that is presented by The Integrative Conscious Vibe;

F.            All payments have been made on time, without delay.

G.           You have attended at least 16 Q&A sessions before the Guarantee Date;

H.           You have properly completed the offer creation training in the Program no more than 21 days after the Commencement Date **

            You have watched the entirety of the offer creation training.
            You have completed the unique mechanism worksheet.
            You have completed the offer creation worksheet.
            You have submitted your offer worksheet to our team for review. 
            ** You have made any changes to your offer proposed by our team.

The Integrative Conscious Vibe, LLC will provide ALL relevant worksheets, training, documentation, workbooks and coaching required for the completion of these steps. 

I.              You have properly completed the teachers training, healing, workbook material, journal prompts and group healing in the Program no more than 180 days after the Commencement Date **

** You have created a vision

** You have followed the process outlined in the Program.

You have played full out in the program and have devoted yourself to the self practices
            You have requested support as needed

** You have implemented any and all feedback provided by the coach.
           

The Integrative Conscious Vibe will provide ALL relevant structures, teaching templates, journals, scripts, healing meditations, automations and coaching required for the completion of these steps. 

J.             You have successfully staying in the program watching the healing programming, and being part of the monthly meditations, weekly group coaching and have done the homework as requested.

K.            You have satisfactorily studied and practiced

L.            You have integrated the healing modalities, studies, meditations, intuition building, and completed information in the workbooks and submitted work on time and requested.           
                        You have created at least 30 sample sessions (non-charging) within the 4 months of starting.
                        You have requested feedback from our Coach/Healer.

                        You have implemented any and all such feedback
                        You have studied and followed self-practice and implemented best practices

                        ** You have launched these ads using the methodology in the Program.

                        ** You have come up with a niche for your sector and how you could stand out in the holistic venue

** Each of you has created a vision board and check off manifesting vision for yourself within the first 60 days.

The Integrative Conscious Vibe will provide ALL relevant structures, templates, scripts, workbooks, teachings, classroom setting via on line, monthly meditations, healing groups, weekly coaching, and coaching required for the completion of these steps. 
           

M.           After any Launch Period, you have taken steps to complete the training on 30 clients, and have come up with an agreement for your clients to sign on working with you and how you will provide them with service and support them in their life. You will come up with a niche and use your healthcare profession to niche down.

The Integrative Conscious Vibe will provide ALL relevant tracking systems, documentation, worksheets and automations for the completion of this step.

N.           You have properly completed classroom training, 13 course, tests, hands-on training,  workbooks, journal Prompts, monthly meditation, Weekly coaching groups, and classroom training

** You have followed up
** You have followed up via both email & phone call with questions, issues with energy healing, different practices, not being up to show up for weekly coaching, or  meditation, or not being able to jump into teachings that are part of the certifications.
** You have shown up to every scheduled call (Teaching Calls) 3 x week

** You have recorded healing sessions that you have been asked to do.

You have had at least 30 practice sessions on each modality I, II, III, and submitted all of your practice sessions for review by a coach.

Accurate data

O.           You have properly completed classroom training, 13 course, tests, hands-on training,  workbooks, journal Prompts, monthly meditation, Weekly coaching groups, and classroom training

P.            If, (60) days prior to the Guarantee Date, you have not already completed training, completed homework, completed 30 client practice sessions, and have continued to meditate and complete inner work needed for transformation- since the Commencement Date, you have, no less than fifty (60) days prior to the Guarantee Date, emailed [email protected] with the subject line “Help-Soul Struggle” and a message outlining your results from the program and a request for further help.

(d)          In the event a refund is requested, you will provide:

                                (i)            Access to your payment processor (via screenshare) to verify your claim;

                               (ii)            Access to your coaching calls, and revisit whether you have showed up or not for the healing groups, calls, and monthly meditations.

                              (iii)            Access to all call recordings & relevant sales tracking sheets on the classroom training and extensive letter writing and education on intuition building;

                              (iv)            Access to all relevant metric tracking sheets & documents; and

                               (v)            Access to shared practice session documents

All information will be requested by a form to assess eligibility before funds are processed.

If eligible, a Zoom call will be required to process the funds. After 180 days, a refund can be requested once only. If you do not meet eligibility, you will not be able to re-request a refund.

(e)          You hereby acknowledge and agree that all program sales are only refundable if they meet the above stated criteria, that you are not entitled to a refund in any other circumstances, and that you waive any rights to charge-back your purchase with your credit card processor.

4.         Intellectual Property

The Program and all materials presented therein are proprietary to and the property of The Integrative Conscious Vibe, LLC or third parties that license such material to The Integrative Conscious Vibe, LLC.

All applicable rights in all copyrights, trademarks, trade secrets, trade names, workbooks, codes, patents, and other intellectual property rights in or associated with the Program are and will remain in The Integrative Conscious Vibe. or its licensors, and you shall have no such intellectual property rights in the Program. You may not record, use or reproduce any material in the Program without the written permission of the owner. You understand all communication in the Program may be recorded and may be used for promotional purposes.

You authorize us to use your voice, materials, name, photos, screenshots, results or likeness in future promotional or other Program materials.

5.         Indemnity

You indemnify and hold harmless us and our agents, employees or appointed third parties against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including attorneys’ fees, fees, and the costs of enforcing any right to indemnification under this Agreement and the cost of pursuing any insurance providers, relating to any claim of a third party arising out of or occurring in connection with your breach of this Agreement or from your activities and/or use of our materials, services, or the Program.

6.         Use of Data

Not with standing anything to the contrary, we shall have the right to collect and analyse data and other information relating to the provision, use, and performance of various aspects of the Program, and we will be free (during and after the term hereof) to:

(a)          use such information and data to improve and enhance the Program and for other development, diagnostic, and corrective purposes in connection with the Program; and

(b)          disclose such data solely in aggregate or other de-identified form in connection with our business for any reason we see fit (within the maximum extent of the law).

7.         Program Use

(a)          You agree that you will use the Teaching and Coaching Program only in compliance with our standard published policies then in effect and all applicable laws and regulations. Although we have no obligation to monitor your use of the Program, we may do so at any time and without notification to you, and may prohibit any use of the Program that we believe may be (or alleged to be) in violation of the foregoing. You are under no circumstances allowed to reproduce or share the information here to others without the permission of the owners of The Integrative Conscious Vibe, LLC.

(b)          Should you be unable to attend any calls or live events, replays will be made available where possible but no compensation will be provided. Members Site usernames and passwords must not be shared with any other person at any time. Please refer to our privacy policy.

(c)           If Program cancellation is required by us, you shall have no claim (whether direct or indirect) on us for compensation, loss, damages and/or liability. We reserve the right to eject you at any time should you be taking adverse actions towards the Program or any of the coaches, healers or The Integrative Conscious Vibe, LLC or violating this Agreement, in our sole discretion. Full payment of our Agreement must be made regardless of any cancellation or ejection, and you forfeit your right to any refunds whatsoever.

(d)          We shall use reasonable efforts consistent with prevailing industry standards to maintain the Program in a manner that minimizes errors and interruptions. The Program may be temporarily unavailable for scheduled maintenance or unscheduled emergency maintenance, either by us third-party providers or by, or because of other causes beyond our reasonable control, but we shall use reasonable efforts to provide advance notice in writing or by e-mail of any scheduled service disruption. However, we do not warrant that the program will be uninterrupted or error-free; nor do we make any warranty as to the results that may be obtained from use of the Program. Except as expressly outlined in this section, the program is provided “as is” and we disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose and non-infringement.

(e)          You agree not to post any content on any website(s) or social media accounts that is or could reasonably be considered to be inappropriate, defamatory, disparaging or would otherwise bring The Integrative Conscious Vibe into disrepute.  If you do, you will be ejected from the program.

8.         Term

This Agreement extends for as long as you retain login access to the Program, and for a minimum period of 48 months from the date after which you no longer retain login access to the Program (see term 4. for details on retaining access after 365 days).

9.         Variation

We may vary any terms of this T&C at any time with notice to you and you irrevocably agree to any changes made to our Terms and Conditions to protect you and us. We are committed to the quality, consistency, and value of our services and reserve the right to alter the Program, including material, speakers, coaching staff and any other variable in any way to provide the best possible experience and outcome for you. We are committed to serve humanity in the highest form in consciousness.

10.       Limitation of Liability

Notwithstanding anything to the contrary, The Integrative Conscious Vibe, LLC and its officers, affiliates, representatives, contractors, healers, coaches and employees shall not be responsible or liable with respect to any subject matter of this agreement or terms and conditions related thereto under any contract, negligence, strict liability, or other theory:

(a)          for error or interruption of use or for loss or inaccuracy or corruption of data or cost of procurement of substitute goods, services, or technology or loss of business;

(b)          for any indirect, exemplary, incidental, special, or consequential damages;

(c)           for any matter beyond our reasonable control; or

(d)          for any amounts that, together with amounts associated with all other claims, exceed the fees paid by you to us for the program under this agreement in the 12 months prior to the act that gave rise to the liability, in each case, whether or not we have been advised of the possibility of such damages.

11.       Entire Agreement

In relation to the subject matter of this Agreement, this Agreement is the entire agreement between the parties and this Agreement supersedes all oral and written communications by or on behalf of any of the parties.

12.       Governing Law

This Disclaimer/Agreement shall be governed by the laws in force in the United States of America. New Jersey and any other state there-of-South Wales, Australia and the parties irrevocably and unconditionally submit to the exclusive jurisdiction of the Courts of the State of New Jersey and any courts which may hear appeals from those Courts in respect of any proceedings in connection with this Agreement.
